Terms and Conditions

1. Description of Services

Reimagine Digital Marketing (“Provider”) agrees to provide the following services (“Services”) to the Client for $300 per week:

  1. Advertising Campaigns:

    • Creation, management, and optimization of advertising campaigns on platforms such as Google Ads, Facebook Ads, and Instagram Ads.

  2. Social Media Management:

    • Posting, monitoring, and engaging on specified platforms to build an online presence.

  3. Lead Generation & Automation:

    • Systems to attract and manage leads, including automated responses, follow-ups, and nurturing processes.

  4. Voice AI & Live Employee:

    • Voice AI: Screens calls, answers questions, and books appointments 24/7.
    • Live Employee: Handles issues and calls filtered by AI from 9:00 AM to 5:00 PM.

  5. Analytics and Reporting:

    • Regular performance updates to track ROI and campaign effectiveness.

  6. Web Design:

    • Basic website creation tailored to the Client’s brand and needs.
    • Maintenance and updates as requested.

  7. Design Services:

    • Social media image creation.
    • Video editing for social media.
    • High-quality video creation for advertising and branding.
      • Travel-Related Costs: For on-location video shoots, the Client agrees to pay all travel-related expenses, including transportation, lodging, and meals.


2. Term of Agreement

  • These Terms and Conditions become effective upon service activation and will continue indefinitely unless terminated under Section 7.
  • Minimum Commitment:
    • The Client agrees to a minimum commitment of 90 days, understanding that marketing and advertising require consistency to yield results.


3. Payment Terms

  1. Billing Frequency:

    • Payments of $300 are due weekly in advance via credit card.

  2. Payment Due Date:

    • Payments are due every 7-days from the start date of this plan.

  3. Additional Costs:

    • Any third-party services or tools required for web design, video creation, or filmography will be billed separately and must be approved by the Client in advance.
    • SMS, Calls and Emails fees are prepaid paid by Provider and rebilled to the client in a monthly basis according to the account usage. 
    • Although drone footage is included with the plan, travel costs (transportation and lodging) must be pre-paid in advance by the Client.

  4. Late Payment Policy:

    • Late payments beyond 10-business days will result in a suspension of services until the outstanding balance is paid in full or an agreement is made.


4. Chargeback Policy

  1. Non-Refundable Payments:

    • Payments made are non-refundable once Services have commenced for the week.

  2. Prohibition on Chargebacks:

    • The Client agrees not to initiate chargebacks or disputes with their payment provider for any reason.

  3. Remedies for Chargebacks:

    • In the event of a chargeback, the Provider reserves the right to:
      • Immediately suspend all services.
      • Charge the Client:
        • Outstanding balances due.
        • A chargeback fee of $[Insert Fee].
        • Legal fees, collection costs, and other expenses.

  4. Authorization Clause:

    • By agreeing to these Terms and Conditions, the Client authorizes the Provider to process payments using the payment method provided at the time of activation.


5. Service Results and Expectations

  1. No Guaranteed Results:

    • The Provider does not guarantee specific outcomes, as results depend on factors outside their control (e.g., market conditions, Client responsiveness, etc.).

  2. Collaboration Commitment:

    • The Client must provide necessary materials, approvals, and information promptly to ensure service effectiveness.

  3. Weekly Reviews:

    • The Provider will conduct weekly reviews and provide recommendations to align with the Client’s goals.

6. Intellectual Property

  1. Ownership of Content:

    • Intellectual property created by the Provider (not including websites) during the term of this Agreement will remain in the Provider’s ownership.

  2. Use of Tools and Platforms:

    • Any tools, software, or systems used by the Provider remain proprietary and are not transferable.

7. Termination

  1. Client-Initiated Termination:

    • The Client may terminate services with a 30-day written notice after fulfilling the 90-day minimum commitment period.
    • Payments already made are non-refundable.

  2. Provider-Initiated Termination:

    • The Provider may terminate services immediately in the event of non-payment, breach of terms, or conduct damaging to the Provider’s reputation or operations.

8. Liability

  1. Limitation of Liability:

    • The Provider is not liable for indirect, special, or consequential damages arising from the Services provided.
    • The Provider’s total liability is limited to the amount paid by the Client.

  2. Indemnification:

    • The Client agrees to indemnify and hold the Provider harmless against claims, damages, or expenses arising from this Agreement or the Client’s business activities.

9. Governing Law

  • These Terms and Conditions are governed by the laws of Florida. Any disputes arising under these Terms will be resolved in Florida’s jurisdiction.


10. Entire Agreement

  • These Terms and Conditions constitute the entire understanding between the Provider and the Client, superseding all prior agreements or understandings.


By proceeding with payment or service activation, the Client acknowledges and agrees to these Terms and Conditions.
